This website and borrower portal (“Portal”) is owned and operated by Resolve Property Capital Pty Ltd ABN 47 695 371 245 (“Resolve Capital”, “we”, “our”, or “us”) under the domain name “resolvecapital.com.au”.
By accessing or using the Portal, you agree to be bound by these Terms & Conditions together with our Privacy Policy, Refund Policy, notices, disclaimers, and any other policies or statements published on this website (collectively, the “Terms of Use”). If you do not agree with these Terms of Use, you are not authorised to use this website.
1. About Resolve Capital
Resolve Capital is a non-bank lender providing property-secured commercial lending solutions to SME businesses, property investors and developers across Australia.
The Portal allows borrowers and authorised users to:
- access loan account information, product guides, and facility documentation;
- submit drawdown requests or repayment instructions in respect of an approved facility;
- upload or retrieve documents; and
- pay one-off application and platform fees by card.
Drawdown and repayment requests submitted through the Portal are processed by Resolve Capital and do not constitute direct payment transactions on the Portal. Loan repayments are not made via card through the Portal. Card payments accepted through the Portal are limited to one-off, non-recurring application and platform fees only.
2. Acceptance of Terms
By using the Portal, you acknowledge and agree that:
- you are authorised to access the Portal on behalf of the relevant applicant or borrower;
- the information you provide is accurate and complete;
- you will use the Portal only for lawful purposes; and
- you agree to comply with these Terms and any applicable loan agreement entered into with Resolve Capital.
3. Portal Access and Use
You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account. You must not:
- use the Portal in any unlawful or fraudulent manner;
- attempt to gain unauthorised access to any systems or information;
- interfere with the operation or security of the Portal; or
- upload malicious code, viruses, or harmful material.
Resolve Capital does not guarantee continuous availability of the Portal and may suspend or terminate access to the Portal at any time when reasonably necessary for operational, security, compliance, or maintenance purposes.
4. Online Payments
The Portal accepts card payments for one-off, non-recurring application and platform fees in connection with a loan application or facility establishment with Resolve Capital.
These fees may include:
- application fees
- platform and facility establishment fees; and
- card payment surcharge or processing fees, where permitted under applicable law and regulation. All fee payments are subject to verification and acceptance by Resolve Capital. A payment receipt or confirmation generated through the Portal confirms that a payment request has been submitted but does not guarantee that the transaction has been successfully processed or cleared.
5. Cardholder Authorisation
By submitting a card payment through the Portal, you:
- authorise Resolve Capital to process the payment for the amount specified;
- confirm that you are authorised to use the relevant payment card;
- acknowledge that additional cardholder verification steps may apply, including verification required by your card issuer; and
- authorise any applicable authentication process required by Visa, Mastercard, your card issuer, or the payment gateway provider.
You remain responsible for ensuring that sufficient funds or credit are available at the time of processing.
6. Payment Processing
Online card payments made through the Portal are processed securely by a third-party payment gateway provider engaged by Resolve Capital.
Resolve Capital does not store full card details entered through the hosted payment environment.
By making a payment, you acknowledge and agree that:
- payment processing services are provided by Resolve Capital’s third-party payment gateway provider and associated financial institutions;
- card transactions may be subject to fraud prevention and security verification measures, including 3D Secure authentication;
- payment processing may be delayed, declined, or rejected for reasons outside Resolve Capital’s control; and
- temporary interruptions to payment functionality may occur due to system maintenance, telecommunications issues, or third-party service outages.
7. Failed or Declined Transactions
If a payment is declined, reversed, charged back, or otherwise unsuccessful, the relevant fee or amount payable to Resolve Capital will remain outstanding and Resolve Capital may contact you to arrange an alternative payment method.
Resolve Capital is not responsible for any fees, charges, or losses imposed by your financial institution arising from failed or declined transactions.
8. Refunds
Refunds are subject to Resolve Capital’s Refund Policy, as amended from time to time.
Where a payment has been made in error, refund requests must be submitted to Resolve Capital for review and assessment.
Approved refunds will generally be returned to the original payment method where practicable.
9. Privacy and Security
Resolve Capital handles personal information in accordance with its Privacy Policy and applicable Australian privacy laws.
Payment card information entered through the Portal is processed using secure encryption and PCI-compliant payment infrastructure operated by Resolve Capital’s third-party payment gateway provider and its service providers.
While reasonable measures are taken to protect information and maintain system security, Resolve Capital does not guarantee that the Portal will be uninterrupted, error- free, or free from cyber threats.
10. Limitation of Liability
To the maximum extent permitted by law, Resolve Capital excludes all liability for any loss, damage, cost, or expense arising from:
- use of, or inability to use, the Portal;
- delays or interruptions to payment processing;
- unauthorised access to systems caused by factors outside Resolve Capital’s reasonable control;
- third-party system failures; or
- reliance on information made available through the Portal.
Nothing in these Terms excludes any rights or remedies that cannot lawfully be excluded under applicable law, including the Australian Consumer Law.
Information provided through the Portal is of a general nature only and does not constitute financial, legal, or taxation advice.
11. Changes to Terms
Resolve Capital may update or amend these Terms from time to time.
Updated Terms will become effective when published on the Portal or website. Continued use of the Portal after any update constitutes acceptance of the revised Terms.
12. Governing Law
Unless otherwise stated expressly, these Terms of Use are governed by and are to be construed according to the laws applicable in the State of New South Wales and the Commonwealth of Australia.
13. Eligibility
Access to and use of the Portal is restricted to persons who are aged 18 years or over and who have the legal capacity to enter into binding agreements. By accessing the Portal or submitting a payment, you represent and warrant that you satisfy these eligibility requirements. Resolve Capital reserves the right to refuse or cancel access where eligibility requirements are not met.
14. Severability
If any provision of these Terms is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, that provision will be severed from these Terms and the remaining provisions will continue in full force and effect.
15. Waiver
A failure or delay by Resolve Capital to exercise any right or remedy under these Terms on any occasion does not constitute a waiver of that right or remedy, and does not prevent Resolve Capital from exercising that right or remedy on any future occasion.
16. Electronic Communications
By using the Portal, you consent to receiving communications electronically from Resolve Capital, including notices, confirmations, account communications, and other information relating to your application or facility.
